Ongoing Governance Arrangements

The NECS National Governance Arrangements currently in place apply to the development and implementation of NECS. However, once NECS becomes fully operational, a more permanent arrangement is needed to oversee the ongoing operation, maintenance and development of the system in the best interests of all stakeholders.

In 2006, the National Office – on behalf of the NECS National Steering Committee – engaged strategic consulting group Dench McClean Carlson to independently develop ongoing governance arrangements for NECS.

The work involved:

• consulting with all key stakeholders
• exploring all appropriate structure options and their advantages and disadvantages
• developing proposals and a recommendation for ongoing governance, including ownership, 
  control and any special arrangements.

Dench McClean Carlson concluded that NECS should be an incorporated entity – NECS Ltd – owned by the jurisdiction governments. The key recommendations included:

• equal shareholdings among the jurisdiction governments
• a skills-based board of directors responsible for the management and operation of NECS
• six board committees of directors, industry representatives and independent advisers
• resourcing of NECS services through a comprehensive outsourcing contract secured by 
  competitive tender.
